What does it cost to register and stay compliant as a PBO in Kenya in 2026? Under the Public Benefit Organizations Regulations, 2026, registering a national PBO costs KES 25,000, an international PBO KES 45,000, and every PBO pays KES 2,000 to file its annual report. Name search, constitution changes and official changes add smaller fees. Below is the full schedule as of October 2026, plus a worked first-year budget.
What are the PBO registration fees in Kenya?
The regulations were gazetted on 18 March 2026 (Legal Notice No. 43). According to the fee schedule summarised by Bowmans and FNJ Associates, these are the entry costs:
| Service | Fee (KES) |
|---|---|
| Name search and reservation | 1,000 |
| Name reservation extension | 1,000 |
| Registration as a (national) PBO | 25,000 |
| Bestowment of PBO status | 20,000 |
| International PBO registration | 45,000 |
| Exemption from registration (international PBO) | 75,000 |
A name reservation lasts 60 days and can be extended once for a further 60, so the application should be ready before you reserve.
What does it cost to keep a PBO compliant each year?
The recurring bill is small. The annual report filing fee is KES 2,000, and the report is due six months after your financial year ends. The bigger costs are changes:
- Constitution amendment: KES 4,000
- Change or addition of officials: KES 4,000
- Change of banking arrangements: KES 4,000
- PBO name change: KES 15,000 (KES 27,500 for an international PBO)
- Change of authorised agent: KES 20,000
Every board change costs money, which is one reason to plan director rotations around a single annual filing. Our PBO board governance checklist explains the notice windows (30 days for governing-body changes, 60 days for other material changes).
What will a first year realistically cost?
Take a new national PBO with a reserved name, registration, one annual report and one change of officials:
- Name search: KES 1,000
- Registration: KES 25,000
- Annual report: KES 2,000
- One change of officials: KES 4,000
- Total in statutory fees: KES 32,000
That excludes your audit, which is usually the largest line, and any lawyer or accountant fees. Budget for the audit separately; see our annual returns guide for what the filing needs.
What does it cost an existing NGO to transition?
Organisations registered under the old NGO Coordination Act move to PBO status automatically, but must submit updated records to the Public Benefit Organizations Regulatory Authority. Sources disagree on the deadline. Bowmans cites 13 May 2026, while Cliffe Dekker Hofmeyr reports a one-year extension to 14 May 2027 through Legal Notice No. 85 of 14 May 2026. Check the Authority’s notice before you rely on either date. We could not find a published transition fee in the sources we reviewed, so confirm with the Authority before budgeting.
What happens if you don’t pay or file?
Failure to file annual returns is a listed ground for suspension or cancellation of registration, with at least 30 days’ prior notice. Losing registration can mean losing tax exemptions and donor eligibility, a far larger cost than KES 2,000. See what to do if deregistration is on the table.
